1. Acceptance of Terms

By accessing and using Agbata, Inc., you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. User Accounts

2.1 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

2.2 Instructor Accounts

Instructor accounts require admin approval. We reserve the right to approve or reject instructor applications at our discretion based on qualification, experience, and platform standards.

3. User Responsibilities

3.1 For Students

• Use course materials solely for personal educational purposes
• Do not share, reproduce, or distribute course content without permission
• Respect intellectual property rights of instructors
• Engage respectfully with instructors and other students
• Complete payments for paid courses before accessing content

3.2 For Instructors

• Ensure all course content is original or properly licensed
• Provide accurate course descriptions and learning outcomes
• Maintain course quality and update content as needed
• Respond to student inquiries in a timely manner
• Set fair and reasonable course prices
• Not engage in misleading or deceptive practices

4. Payments and Refunds

4.1 Student Payments

All payments are processed securely through Klasha and Stripe. Prices are set by instructors and clearly displayed before enrollment. By completing a purchase, you agree to pay the stated amount.

4.2 Refund Policy

Students have 48 hours from the time of purchase to request a refund. Refund requests must be submitted within this timeframe. Refunds are granted at our discretion and may be denied if significant course content has been accessed. Payment processing fees charged by Stripe and Klasha are non-refundable.

4.3 Payment Processing Fees

All payments are processed through Stripe and Klasha. These payment processors charge fees for each transaction. While Agbata, Inc. does not take commission during the beta period, these third-party processing fees apply to all transactions. Fee details are available from the respective payment processors.

4.4 Instructor Payouts

During the beta period, instructors receive 100% of course sales (after payment processing fees). Earnings are added to instructor balance and can be withdrawn via mobile money transfer. Payouts are processed weekly every Friday. Payout requests submitted after Friday will be processed the following Friday.

5. Intellectual Property

5.1 Course Content

Instructors retain copyright to their course content. By uploading content, instructors grant Agbata, Inc. a non-exclusive license to host, display, and distribute the content for platform operations.

5.2 Platform Content

The Agbata, Inc. platform, including design, features, and branding, is owned by us and protected by copyright and trademark laws.

6. Prohibited Activities

You agree not to:

• Upload harmful, offensive, or illegal content
• Infringe on intellectual property rights
• Engage in fraudulent activities or payment manipulation
• Attempt to hack, disrupt, or compromise platform security
• Create fake accounts or impersonate others
• Spam or harass other users
• Scrape or collect user data without permission

7. Content Moderation

We reserve the right to review, modify, or remove any content that violates these terms or our community guidelines. We may suspend or terminate accounts that repeatedly violate our policies.

8. Disclaimers

Agbata, Inc. is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Accuracy of course content provided by instructors
• Specific learning outcomes or career advancement
• Availability of specific courses or features

9. Limitation of Liability

To the maximum extent permitted by law, Agbata, Inc. and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

10. Indemnification

You agree to indemnify and hold harmless Agbata, Inc. from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

11. Termination

We may suspend or terminate your account at any time for:

• Violation of these terms
• Fraudulent activity
• Extended inactivity
• Legal requirements

You may close your account at any time through your profile settings. Upon termination, you lose access to purchased courses unless otherwise stated.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the Delaware Court of Chancery.
